Course Terms and Conditions

These Terms and Conditions apply to Online Courses provided by the Board Coaching Institute (‘BCI’). These Terms constitute the entire and only agreement between you and us and supersedes all prior agreements, conduct, representations and understandings. 

Our Online Courses are intended for people aged 18 and over.

Please read these terms and conditions carefully before purchasing an Online Course and keep a copy of these terms and conditions for your records.

Your payment for an Online Course is deemed as your acceptance of these Terms and Conditions.


  • Definitions

“Confidential Information” means information provided by one party to the other in written, graphic, recorded, machine readable or other form concerning the business, clients, suppliers, finances and other areas of the other party’s business or products, including, without limitation, the Course Materials, but does not include information in the public domain other than through the default of the party disclosing the information, information required to be disclosed by any court or regulatory authority, or any information already in the possession or control of the disclosing party.

“Course Materials” means the information provided by the Board Coaching Institute ('BCI') to accompany a course provided as part of the Services in hard copy or electronic form. These include, but are not limited to handouts, workbooks, slide decks, templates, lesson plans, video recordings, audio recordings, images, infographics and training content.

“Fees” means the fees paid by you to the Board Coaching Institute ('BCI') for the Services.

“Intellectual Property Rights” means copyright, rights in or relating to databases, patent rights, performers’ rights, designs and registered designs, trademarks, rights in or relating to Confidential Information and other intellectual property rights (registered or unregistered) throughout the world.

“Online Course” means the delivery by us of the Board Success System™ and Board Success Accelerator™ programs and resources. 

“Intake Date’ means the date that you are granted access to protected membership areas.

“Services” means the provision of the Online Course and/or the Course Materials together with any other coaching and training services you purchase from us.

“Participants” means all prior and current students of our Online Courses.

“Online Communities” means our social media and online groups where our staff, contractors, participants and associates can interact and network online.

“Your Content” means material (comments, images, articles, links, etc) which you post in our Online Communities or to chat boxes in our online events.


  • The Online Course

2.1. Descriptions of the Online Courses are detailed below:

Board Success System™ which can be provided in various formats, such as:

  • (1) Self-Study: Online self-paced study modules 
  • (2) Mastermind: Online self- paced study modules combined with live online group coaching
  • (3) Mastermind with Accountability Sessions: Online self-paced study modules combined with live online group coaching and private laser coaching sessions
  • (4) Mastermind with Private Coaching: Online self-paced study modules combined with live online group coaching and private one-to-one coaching 

Board Success Accelerator™

An online professional development program for established and emerging NEDs providing skills and theory training and networking opportunities. 

2.2. We will provide the Services with reasonable care and skill.

2.3. We reserve the right to vary or withdraw any of the Services described without notice.

2.4. Enrolment to the Board Success System™ is by ‘Application’. We aim, as far as practicable, to ascertain that you are a good fit for the Online Course. However, we are unable to make any guarantee to you, that you will obtain a particular result or board appointment outcome upon completion of the Online Course or indeed that the Online Course is totally appropriate for your needs. The onus is on you to ensure that the Online Course meets your requirements and that you can make the necessary commitment to the Online Course to achieve the outcomes you seek. 

2.5.The Online Course provides support, guidance and tools for you to set goals, determine priorities and achieve results to assist in pursuit of your board career, but any decision you make, and the consequences that flow from such decisions, is your sole responsibility. Your success depends on many factors, including your background, dedication, participation, desire, and motivation.

2.6. Any testimonials and examples in BCI marketing materials are not to be taken as a guarantee that you will achieve the same or similar results.

2.7. BCI cannot and does not make any guarantees about your ability to get results or a future role on a board.

2.8. BCI cannot and does not make any guarantees about your ability to secure a board role or to earn income from board roles with our Course Materials. You acknowledge that individual results will vary for participants.

2.9. BCI is unable to provide technical guidance if you have experience technical difficulties accessing online events 

2.10. BCI does not accept any responsibility for disruptions to live events caused by technical issues. We will do our best to navigate and provide solutions to technical issues we experience and reserve the right to cancel a live session at short notice if a solution cannot be found. 

2.11. BCI is unable to guarantee that recordings will be made available, even where they have been advertised or offered. From time to time a recording might not be possible as a result of human error or technical issues.

2.12. BCI reserves the right to refuse you entry or access to any live or in-person events if your fees are overdue. Refer to 5.4 below.


  • Enrolment

3.1. The Board Coaching Institute ('BCI') reserves the right to cancel or decline your enrolment at any time until it has been confirmed in accordance with clause 3.2 below.

3.2. Your enrolment is confirmed and a legally binding agreement between us and you shall come into existence when we have received payment of the relevant Fees from you in accordance with clause 5 below.


  • Cancellation

4.1. There are limited places in groups on our courses. Changes and cancellations have a negative impact on the group as a whole and affect group dynamics. Please ensure that you have the necessary resources to commit to the Online Course prior to enrolling. 

4.2 The cancellation fees are as per below:


Board Success System™ 

Prior to Accessing the Members Area: A refund of 95% of online course fees

After Accessing the Members Area: No cancellations accepted


Cancellation of Accountability and Private Coaching Sessions

Cancellations with less than 24 hours notice: Session forfeited 

Cancellations with more than 24 hours: Please notify us and re-book at your earliest convenience

Late arrival to Sessions:  A partial session will be provided using the remaining time allocated for the session

Lapsed Sessions: You will forfeit any sessions you fail to schedule within the time period allocated for your private accountability and coaching sessions. 

No sessions can be provided after the end of the stipulated period.


Board Success Accelerator™

No minimum contract.

To cancel your subscription please email us with ‘Board Accelerator Cancellation’ in the email subject line. 

48 hours notice, (taken from the date your email is sent) is required for cancellations.  


  • 5. Fees

5.1. The Fees payable for the Online Course are outlined in your Online Course Enrolment Form.

5.2. Online Course Fees are inclusive of Australian Goods and Services Tax (GST). 

5.3. You agree to ensure sufficient funds are available in your nominated account to meet any account withdrawals made by us on their scheduled due dates. 

5.4. Under no circumstances will you be permitted to start or to continue with the Online Course if your Fees are not paid when they fall due. 

5.5. Non-payment of fees will be treated in accordance with clause 4 above. 


  • 6. Liability

6.1. No part of the provision of the Services shall be deemed to be, nor is it intended to be, nor should it be taken to be, the provision of financial, investment, or legal advice.

6.2. The advice provided in the Online Course is general in nature. BCI will guide you to customise and personalise the Course Materials to formulate your personal strategy and courses of action, and you should seek appropriate professional advice as to the suitability of these for your own specific personal circumstances. 

6.3. Where BCI provides mentoring as a component of the Online Course, the mentoring relationship between the mentor and participant is independent to BCI. BCI is solely limited to making introductions and you are cautioned that BCI does not accept any liability for any advice, coaching or recommendations provided to you by your mentor. 

6.4.  Where BCI provides referrals to other products and services, the relationship between the third party and participant is independent to BCI. BCI is solely limited to making introductions and you are cautioned that BCI does not accept any liability for any advice, services, coaching or recommendations provided to you by a third party recommended by us. 

6.5. You acknowledge and agree that BCI, its directors, principals, employees, consultants and representatives are not responsible for the losses arising out of any actions, decisions or judgements made by you in your pursuit of a board role and in any role you subsequently secure as a company director, board adviser and/or committee member.

6.6 The Online Courses are based on Australian practices. International participants will need to consider the validity and/or application of any of the resources and strategies in their jurisdiction. Whilst most of the components of the Online Course are generic in nature, BCI does not make any representation that the Online Course will be suitable or appropriate to participants outside of Australia. 

6.7. BCI is not responsible nor liable for any claims, losses, damage or other matter, direct or consequential, resulting from any action taken or reliance made by you on any information or material within the Online Course (including, without limitation, third party information). 

6.8. The liability limitations, disclaimers and indemnities within these Terms do not exclude rights that by law may not be excluded. Such rights include, but are not limited to, those rights under Australian Consumer Laws.


  • 7. Disclaimer

7.1 Every care has been taken in the compilation of the Course Materials. However, due to factors outside the control of BCI, the content is subject to change at any time.

7.2 The Course Materials are provided as a guide only. You are advised to conduct research specific to your personal situation, exercise your own independent skill and judgement and obtain any appropriate professional advice relevant to your particular circumstances. 

7.3. In some cases the Course Materials may incorporate or summarise views, standards or recommendations of third parties or comprise material contributed by third parties (‘third party material’). Such third party material is assembled in good faith, but does not necessarily reflect the considered views of BCI, or indicate a commitment to a particular course of action. 

7.4. Any links provided to websites and other references are inserted for convenience and do not constitute endorsement of third party material at those sites, or any associated organisation, product or service.

7.5. BCI makes no representation or warranty about the accuracy, reliability, currency or completeness of any Course Materials contained within the Online Course and assumes no responsibility for errors or omissions.


  • 8. Your Indemnity

8.1. You indemnify us from all actions, suits, claims, demands, liabilities, costs, expenses, loss and damage (including legal fees on a full indemnity basis) incurred or suffered by you or us as a direct or indirect consequence of using or attempting to use our information, products, services or any breach by you or your agents of these Terms. We are not responsible for, and expressly disclaim all liability to the fullest extent permitted by law, for damages of any kind arising out of use, reference to, or reliance on any information contained within Online Courses and our Online Communities.

8.2 You understand and acknowledge that BCI may record Course Materials during the delivery of the Online Course. Those Recordings may be in the form of audio, video or still photography.

8.3 You grant BCI absolute rights and permission to copyright and use of all recordings where you may be depicted or included, in whole or in part, made through any medium and in any and all media. You consent to the use of this media without compensation, in the members portal and/or on the BCI website, BCI socials or in any editorial, promotional or advertising material produced and/or published by BCI both online and/or in print.

8.4. You hereby release, discharge and agree to hold harmless BCI from any and all liability that has or may occur in the making of the recordings or any subsequent process or publication.

8.5. You indemnify BCI from all actions, suits, claims, demands, liabilities, costs, expenses, loss and damage (including legal fees on a full indemnity basis) incurred or suffered by you or BCI as a direct or indirect consequence of using or attempting to use our information, products, services or any breach by you or your agents of these Terms. We are not responsible for, and expressly disclaim all liability to the fullest extent permitted by law, for damages of any kind arising out of use, reference to, or reliance on any information contained within our Online Course.


  • 9. Intellectual Property

9.1. All Intellectual Property Rights in the Course Materials are, and remain, the intellectual property of BCI.

9.2. You are not authorised to:-

  • copy, modify, reproduce, re-publish, sub-licence, sell, upload, broadcast, post, transmit or distribute any of the Course Materials without prior written permission;
  • record on video or audio tape, relay by videophone or other means the Online Course; or
  • remove any copyright or other notice of BCI on the Course Materials;

9.3. In consideration of the Fees paid by you, we grant to you a limited, non-transferable, non-exclusive licence to use the Course Materials in respect of the Online Course for the sole purpose of completing the Online Course. 

9.4. You acknowledge that you do not acquire any ownership rights by participating in an Online Course or accessing our Course Materials.

9.5. You acknowledge that your access to Course Materials terminates on the completion date for the Online Course which may be expressed as either a fixed date or as a duration from the date of course commencement.


  • 10. Confidentiality

10.1 You agree:

  • To maintain the confidentiality of any information shared by BCI and Participants during the Online Course 
  • Not to disclose such information to any other person or use it in any manner other than in discussion with Participants during the Online Course.


  • 11. Termination

11.1. BCI reserves the right to cancel your enrolment without refund and terminate these terms and conditions with immediate effect in the event that you:

  • (a) fail to conduct yourself in a professional manner conducive to getting the best outcome from the Online Course, this includes but is not limited to failing to complete group tasks, not taking full accountability for your success, being disruptive and all forms of negativity,
  • (b) act in an aggressive, bullying, offensive, threatening or harassing manner towards any BCI employee, contractor or participant; or 
  • give access to your Online Course to a third party; or
  • are in breach of these terms and conditions.


  • 12. Data and Privacy

12.1 To the extent that you provide personal information, BCI will treat such information strictly in accordance with its Privacy Policy. Please refer to https://www.boardcoachinginstitute.com.au/privacy or for further information.

12.2. If you wish to change or update any of the information we hold about you, please send an email to [email protected].


  • 13. Access to the Board Stars community

13.1. As part of your Online Course you may be granted access to our public or private Board Star Online Communities in forums or in social media groups. When interacting in these communities, you agree the you will not publish (post or comment):

  • (a) Content that is unlawful, fraudulent, misleading, deceitful, threatening, abusive, libelous, defamatory, obscene, pornographic, indecent, lewd, harassing, threatening, abusive, offensive, inflammatory or otherwise objectionable
  • (b) Content that harasses, degrades, intimidates or is hateful to an individual or group of individuals based on religion, gender, sexual orientation, race, ethnicity, age or disability.
  • (c) Information that includes personal or identifying information about another person without that person’s consent.
  • (d) Information that constitutes promotion or advertisement for groups, events or activities organised through competing organisations, groups or platforms, except as otherwise expressly permitted by us.
  • (e) Any information or content that impersonates any person or entity.
  • (f) Any material, non-public information about companies without authorisation to do so.
  • (g) Any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or other unsolicited commercial communication (except as otherwise expressly permitted by us)

13.2. By posting or otherwise publishing Your Content in our communities, you:

  • (a) Grant us a non-exclusive, worldwide, royalty-free, perpetual, license to use, reproduce, edit and use Your Content in any form and for any purpose.
  • (b) Warrant that you have the right to grant the above licences

13.3. We reserve the right (but have no obligation) to:

  • (a) Review, modify, reformat, reject or remove Your Content that, in our opinion, violates these Terms or otherwise has the potential to harm, endanger or violate the rights of any person; and
  • (b) Monitor the use of the online communities and store or disclose any information that we collect, including in order to investigate compliance with the Terms or for the purposes of any police investigation or governmental request


  • 14. Severability and Jurisdiction

14.1. You agree that the provisions in these Terms and Conditions are intended to be as broad and inclusive as permitted by law and if any portion of this Agreement is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.

14.2. These Terms shall be construed in accordance with and governed by the laws of Victoria, Australia. You consent to the exclusive jurisdiction of the courts in Victoria, Australia to determine any matter or dispute which arises between us.


  • 15. Acknowledgment of Understanding

15.1. You acknowledge you are agreeing to these Terms and Conditions freely and voluntarily and intend for this document to be a complete and unconditional release of liability to the greatest extent allowed by law.

15.2. You certify that you have fully read and understand these Terms and Conditions and agree to comply with the terms.
